Content Licensing Agreement

This agreement outlines the terms under which content creators ("You") license audiovisual works ("Content" or "Film") to SHAIR ("We," "Us," or "The Platform"). By submitting your film, you agree to be bound by these terms.

1. License Grant

  • You grant SHAIR a non-exclusive, worldwide, royalty-free license to:
    • Stream, display, and distribute your content on the SHAIR platform;
    • Promote your content through marketing materials and social media.
  • You retain full ownership of your intellectual property (IP), including all rights to the film, music, performances, and visual elements.

2. Responsibility for IP Rights

  • You represent and warrant that:
    • You own, or have secured all necessary rights, clearances, and permissions for all elements of the film, including third-party music, performances, artwork, footage, and likenesses;
    • Your content does not infringe on any copyright, trademark, or privacy rights.
  • If any disputes or claims arise related to your content, you agree to resolve them at your own expense.

3. Copyright Infringement & Takedown Policy

  • SHAIR complies with applicable copyright law, including the UK Copyright, Designs and Patents Act 1988 and the Digital Millennium Copyright Act (DMCA) where applicable.
  • If we receive a legitimate copyright complaint, your content may be temporarily or permanently removed.
  • SHAIR is not liable for any losses you incur as a result of content removal or copyright claims.
  • Repeated or willful violations may result in account termination.

4. No Exclusivity

This agreement is non-exclusive. You are free to distribute your content elsewhere, including other platforms, festivals, or physical media.

5. Revenue Share & Platform Benefits

  • Ad Revenue: You receive 90% of net ad revenue earned from your content, paid out monthly, subject to minimum payment thresholds and verification.
  • Affiliate Scheme: Viewers who share your film earn 30% of the ad revenue generated from their referral traffic. This does not reduce your 90% share.
  • Direct Audience Reach: SHAIR is designed to connect bold, independent films with viewers who champion creative risk-taking.
  • Simple Onboarding: No gatekeepers. Submissions are straightforward and open to all creators.

6. Content Standards & Platform Rights

  • SHAIR reserves the right to:
    • Refuse or remove content that violates our community guidelines or legal obligations;
    • Promote or prioritise content on the platform at our sole discretion;
    • Make technical adjustments to content (e.g. encoding, format conversion) for performance reasons.

7. Limitation of Liability

SHAIR is provided "as is." While we strive for reliability and visibility, we make no guarantees around audience reach or ad revenue performance.

To the fullest extent permitted by law:

  • SHAIR is not liable for any indirect, incidental, or consequential damages;
  • Our total liability is limited to the revenue earned (if any) from your film in the 12 months prior to the claim.

8. Termination

  • You may request removal of your content at any time by contacting hello@rockfilms.co.uk. Content will be removed within a reasonable timeframe.
  • SHAIR may suspend or terminate your content's availability for violations of this agreement or legal risk.

9. Our Mission

SHAIR exists to showcase bold, underrepresented, or overlooked films—free from traditional gatekeeping and opaque revenue structures. We're building a platform for creators who challenge the norm and want to be rewarded transparently for their work.
